第2篇 出口商品買賣合同

甲乙雙方本著公平、自愿、互惠互利的原則，根據(jù)《中華人民共和國合同法》，經(jīng)協(xié)商一致簽訂本協(xié)議。
一、協(xié)議的簽訂與公證方式
1.本協(xié)議中的網(wǎng)上公證平臺特指由_________公證處運行、管理和維護的網(wǎng)上公證平臺，甲乙雙方共同遵守該公證處制定的有關規(guī)定與要求。
2.本協(xié)議及其相關聯(lián)的合同等法律文件由甲乙雙方通過國際計算機互聯(lián)網(wǎng)（以下簡稱互聯(lián)網(wǎng)）各自使用由_________市公證處審核發(fā)放的電子證書（用以表明和確定各方身份），在網(wǎng)上直接簽訂。
3._________市公證處的網(wǎng)上公證平臺，通過對簽約雙方或多方使用電子證書的驗證，對各方的簽約行為進行實時公證——核發(fā)公證編號，并將公證編號及簽約內容存儲備案；同時將公證編號通過互聯(lián)網(wǎng)實時反饋給各簽約方。
4._________市公證處的互聯(lián)網(wǎng)網(wǎng)址（url）為：_________.
二、本協(xié)議的基本內容
1.甲方通過其經(jīng)營的_________網(wǎng)站將乙方合法商品對外進行出口銷售。
2.乙方通過互聯(lián)網(wǎng)經(jīng)網(wǎng)上公證平臺公證向甲方提交在_________網(wǎng)中銷售的合法商品信息，確定本協(xié)議的年交易規(guī)模（年度交易總金額上限），確定單項商品的年度交易總量。
3.甲方基于本協(xié)議接受乙方使用電子證書提交并經(jīng)過公證的《商品報價單》的全部內容和對已經(jīng)提交給甲方的商品信息的修改內容，甲方在使用或公布該內容時，不能對乙方提交內容進行任何修改加工（甲方只使用乙方提交的最新內容）。
4.乙方通過互聯(lián)網(wǎng)對已經(jīng)提交給甲方的商品信息進行修改，并對修改結果使用電子證書加以確認。
5.乙方在簽署《新商品出口商品購貨協(xié)議》時，以確認書的方式作出承諾，對甲方基于本協(xié)議及乙方《商品報價單》產生的《購貨商品訂單》以下簡稱《訂單》和《購貨商品訂單生效書》以下簡稱《生效書》予以全部接受，并出具《購貨商品訂單確認書》以下簡稱《確認書》（該確認書隨本協(xié)議統(tǒng)一簽名公證生效，不再單獨簽名公證）。
6.《新商品出口商品購貨協(xié)議》文本部分、《購貨商品訂單》、《商品報價單》、《購貨商品訂單確認書》、《購貨商品訂單生效書》共同構成本協(xié)議，上述文件不可分割并具有同等的法律效力。
7.甲、乙雙方只執(zhí)行由《生效書》確認生效的《購貨商品訂單》。
三、擔保條款
1.甲方委托_________（以下簡稱_________公司）為甲方向乙方提供供貨方交易保證金擔保，由_________公司向乙方出具《新商品出口商品交易履約交易保證金擔保單》。
2.甲方委托_________公司為甲方向乙方提供付款擔保，由_________公司向乙方出具《新商品出口商品交易履約付款擔保單》。
3._________公司僅對《購貨商品訂單》項下批量采購提供付款擔保，對樣品采購不提供擔保。
4._________公司對《購貨商品訂單》項下商品的質量及質量問題引起的付款糾紛不予擔保。
5._________公司《_________網(wǎng)出口商品交易履約交易保證金、付款擔保條款》作為本協(xié)議附件隨本協(xié)議統(tǒng)一由乙方簽名公證，不再單獨簽名公證。
四、產品質量責任條款
1.乙方在_________網(wǎng)中銷售的出口商品質量必須是符合質量標準（國家標準）的合法商品（產品）。
2.乙方承諾承擔由于其產品質量出現(xiàn)問題時給甲方所造成的全部損失。
五、貨物交割方式及公路貨物運輸保險
1.甲乙雙方約定：乙方按《訂單》將甲方購買的商品委托當?shù)刂羞h國際貨運有限公司（以下簡稱中貨公司）完成商檢、出口報關手續(xù)后進行出口運輸。乙方將貨物交中貨公司后，填寫《新商品出口貨物發(fā)運交割單》（簡稱《交割單》）并簽章，乙方對《交割單》上所載明的商品數(shù)量和品種等信息的真實性負責。
2.上述出口報關費用、商檢費用、運雜費等費用由乙方承擔。
3.乙方將對本合同所售貨物進行適當完全的包裝，以適于長距離的遠洋或內陸運輸，能夠很好地保護貨物，防止潮濕、濕氣、震動、生銹、粗暴處理。乙方對由于其不適當或不良的包裝所導致的任何破壞和損失負責。
4.乙方須用不褪色的油漆在每個運輸包裝物上標明本合同的合同編號，并標出包裝號碼、尺寸、毛重、凈重，以及本面向上、小心輕放、切勿受潮等裝運標志。
5.乙方在裝運期限前以傳真方式告知甲方運輸包裝的尺寸、毛重、凈重、包裝材質等信息。
6.乙方同意由中國人民保險公司_________市分公司為乙方出口的貨物提供從乙方工廠或貨物所在地至貨物出口啟運港口的公路貨物運輸保險（保險條款按中國人民保險公司現(xiàn)行條款執(zhí)行），該保險受益人為乙方，甲方為投保人，保險費由甲方承擔，保險單自乙方將出口貨物交給當?shù)刂胸浌竞?個工作日內由甲方郵寄給乙方。
六、退稅條款
1.本協(xié)議中的退稅款是指出口商品符合我國現(xiàn)行出口退稅政策規(guī)定，由甲方在_________市國家稅務局辦理退稅事宜，并已取得的退稅款。
2.甲方在取得退稅款前不向乙方墊支退稅款。
3.甲方不承擔因國家出口退稅政策變更導致的無法取得退稅款責任。
4.出口業(yè)務取得的每筆出口退稅款項，由甲方扣收該款10%部分后將所?？铐梾R入乙方帳戶。
七、交易保證金條款
1.為保證本協(xié)議的執(zhí)行，乙方按其確定總交易額的4%交納交易保證金。
2.該保證金匯款時必需在銀行單據(jù)上注明本協(xié)議編號，否則視為無效匯款。
3.該保證金使用期限和本協(xié)議有效期限相同，期間產生的銀行利息（企業(yè)活期存款利息）歸乙方所有，本協(xié)議自然結束或提前終止后隨同交易保證金余額（本協(xié)議有效期限內乙方發(fā)生違約，甲方將扣罰相應的交易保證金）一次退還乙方。
4.乙方交易保證金循環(huán)使用，可根據(jù)業(yè)務需求追加交易保證金。
5.本協(xié)議簽訂后2個工作日內，乙方應將交易保證金匯至由_________有限公司提供擔保的交易保證金帳戶。
八、交易費用、貨款條款
1.乙方同意向甲方支付《購貨商品訂單》貨款總額5%的金額作為交易費用。
2.甲方在規(guī)定時間內為符合第九條付款及付款期限條款約定的付款條件的《購貨商品訂單》向乙方支付該《訂單》貨款總額95%的貨款（扣除5%的交易費用；如乙方發(fā)生違約按違約處理條款處理）。

the case of gif sales ) . 11．合同的完整性與轉讓： complete contract and asignment： （a）本合同中的條件和條款構成買賣雙方（以下簡稱“雙方”）對合同項下貨物的全部和最終理解。對本合同的任何修改、補充或對合同任何條款的免除，均必須經(jīng)受約束方書面確認，否則無效。 the terms and conditions found within this contract constitute the complete and final understanding of the seller and the buyer (hereinafter” the parties”) with respect to the commodity referred to herein . no modification, extension or release from any provision hereof shall be effective unless the same shall be confirmed in writing by the party to be bound . （b）未經(jīng)賣方事先書面同意，本合同及合同項下的任何權益不得轉讓。 neither this contract nor and interest therein shall be assignable witout the prior written consent of the seller. 12．擔保： warranty: 賣方擔保所有貨物符合第一條規(guī)定的規(guī)格。除此之外，任何性質的陳述，擔保和條件，均予排除并消滅。 the seller warrants that all commodity will conform to the description set out in clause 1. save as aforesaid all representations , conditions and warranties of whatsoever nature are hereby excluded and extinguished. 13．許可證、關稅和稅收： licenses,duties and taxes: 除本合同另有規(guī)定外，所有進口許可、許可證以及不屬于國家的任何政府機構征收的一切進口稅、關稅和各種稅收均由買方負擔。 except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes levied by any government authority other than the seller ’s country shall be the sole responsibility of the buyer. 14．不可抗力： force majeure: 如果賣方遇到人力不可抗拒事件，包括但不限于火災、水災、地震、臺風、自然災害以及任何其他賣方不能合理控制的任何意外事故和情況，阻止、妨礙或干擾了本合同的履行時，本合同規(guī)定的賣方履約時間應自動延長，其延長年時間應相當于因人力不可抗拒事件直接地或間接地使賣方不能履行本合同的時間。受不可抗力事件影響的賣方應在合理的時間內，用電報或電傳將不可抗力事件的發(fā)生通知買方，并于__個月內將有關*出具的有關不可抗力事件的證明航寄買方。 如果不履約的情況延續(xù)達___天以上，雙方應立即協(xié)商修改合同。若從不可抗力事件發(fā)生之日起___天內雙方當事人未能取得雙方滿意的解決辦法時，任何一方都可以終止履行本合同未執(zhí)行部分。 the time for the performance of the seller’s obligations set forth in this contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from force majeure events including but not limited to fire , flood , earthquake , typhoon , natural catastrophe ,and all other contingencies and circumstances whatsoever beyond the seller’s reasonable control preventing , hindering or interfering with the performance thereof , the seller so prevented by force majeure shall in reasonable time inform the buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by competent authorities as evidence thereof . if the nonperformance lasts for more than ___ (___) days ,the parties shall immediately consult together in an effort to agree upon a revised contract basis .if the parties are unable to arrive at a mutually satisfactory solution within _____(___) days from the beginning of such force majeure , then either of the parties may terminate the contract in respect of 如發(fā)現(xiàn)貨物在質量、數(shù)量或規(guī)格方面與本合同第一條規(guī)定不符，賣方同意審核任何因此而提出的索賠。該索賠要求應經(jīng)賣方認可的有信譽的檢驗機構出具的報告證實。質量方面的索賠要求應于貨物到達目的港后__個月內以書面形式提出，數(shù)量或規(guī)格方面的索賠要求，應于貨物到達目的港后__天內以書面的形式提出。 在任何情況下，賣方對利潤損失、時間延誤、商譽損害或其他由此而引起的任何特殊或間接損失概不負責。對于任何原因造成的任何性質的一切滅失或損害，賣方的賠償責任，在任何情況下不得超過索賠部分貨物的合同價款，或者根據(jù)賣方的選擇，對此貨物修復或更換。 should the quality , quantity and / or specification of the commodity be found not in conformity with the description set out in clause one , the seller agrees to examine any claim , which shall be supported by a report issued by a reputable surveyor approved by the seller
